This Agreement governs the delivery of services by Flyertap, a Nevada-based company with headquarters in Las Vegas, NV (“Flyertap” or “Service Provider”), to the Client (“You” or “Client”). These Terms and Conditions, together with any applicable Statement of Work (“SOW”) or Project Plan (if applicable), constitute a legally binding agreement effective on the commencement date outlined below. Flyertap provides marketing and offline products (“Services”) as further detailed herein. Flyertap and the Client may be referred to individually as a “Party” or collectively as “Parties.”
Purpose Statement
This Agreement outlines the terms under which Flyertap provides flyer distribution, campaign support, and related offline marketing services to its Clients, ensuring mutual understanding and legal compliance.
Acceptance of Terms
By accepting any Statement of Work (SOW) under this Agreement, the Client confirms that they have read, understood, and accepted the terms and conditions outlined herein.
Recitals
WHEREAS, Flyertap specializes in providing offline marketing and flyer distribution services;
WHEREAS, the Client desires to engage Flyertap for these services;
NOW, THEREFORE, in consideration of the mutual promises set forth, the Parties agree to the following:
Services Provided
Flyertap may provide any or all of the following:
- Campaign Services: Includes design, printing, and preparation of marketing materials.
- Distribution Services: Physical delivery of flyers to targeted locations.
- Application Services: Tools for tracking, submitting, and managing flyer distribution requests (pending full rollout).
1. Definitions and Interpretation
Agreement: This document and all related Statements of Work (SOW).
Services: Marketing, distribution, and application tools offered by Flyertap.
Application: Any web or mobile-based platform provided by Flyertap to facilitate service delivery.
Client: The individual or organization engaging Flyertap’s services.
Commencement Date: The date Flyertap begins services as per the signed SOW.
Force Majeure: Any event beyond the reasonable control of either party.

2. Commencement Date
The Agreement starts on the date the SOW is signed or accepted by the Client in writing or electronically. Services will not commence prior to this acceptance.
3. Project Planning
If required:
- A Project Plan will be developed, detailing timelines, deliverables, and responsibilities.
- Changes to the Project Plan must be agreed upon in writing by both parties.
4. Services and Client Responsibilities
- Flyertap will deliver Services outlined in the SOW.
- The Client must:
- Provide necessary materials and timely feedback.
- Pay fees on time.
- Cooperate in good faith throughout the project.
Flyertap may suspend services if payments are overdue or if the Client violates this Agreement.
5. Application Services
- Flyertap may provide a Dashboard for Clients to manage flyer campaigns and view reports.
- Clients will receive secure login credentials.
- Misuse or unauthorized access may result in service termination.
6. Restrictions on Use
Clients may NOT:
- Sell, rent, or sublicense Flyertap tools or content.
- Reverse engineer or tamper with any software.
- Upload viruses or violate local/national laws using the platform.
7. Fees and Payment
- Fees are outlined in the SOW.
- Late payments may incur penalties or service suspension.
- Taxes, if applicable, are the responsibility of the Client (excluding Flyertap’s income tax).
8. Confidentiality
Both parties agree to maintain confidentiality of all sensitive information exchanged during the course of the Agreement.
9. Termination
Either Party may terminate the Agreement with cause if:
- The other Party breaches this Agreement.
- Insolvency or legal issues arise that prevent performance.
Upon termination, the Client is responsible for outstanding payments and must cease using any proprietary materials or software provided by Flyertap.
10. Limitation of Liability
Flyertap is not liable for:
- Client delays or failure to provide required materials.
- Downtime of any online tools.
- Losses due to third-party service issues or Client negligence.
11. Intellectual Property
All original materials created by Flyertap remain its intellectual property unless otherwise agreed in writing. Clients may use them only for approved purposes.
12. Governing Law
This Agreement is governed by the laws of the State of Nevada, without regard to conflict of law principles.
